Referral terms

These terms apply between Immanence Pte. Ltd. (UEN 202444973N, “Immanence”, “we”) and anyone who refers a company to us (“you”). By getting a referral link or sending us a referral, you agree to them.

1. Making a referral

You refer a company through our referral page, by sharing your personal link or by introducing the company to us. A referral is complete when the company fills in our estimate form through your link, or when we confirm your introduction in writing. A name on its own, without contact with the company, is not a referral.

Before you refer a company, tell them that you are introducing them to us and that you may be paid for the introduction.

2. Who gets the credit

The first completed referral of a company takes priority, as shown by our records. A link you share is remembered on the visitor’s device for 90 days. We may decline a referral of a company that was already in contact with us, for example one that filled in the form on its own or was in discussion with us in the previous six months.

3. Referral fee

If a company you referred licenses its records during its credit window, we pay you a referral fee of between S$5,000 and S$25,000, depending on the size of the licence. We confirm the amount in writing. The credit window runs for 12 months from our confirmation of your referral.

The fee is paid from our share and never reduces the amount paid to the company. We pay one fee per company. No fee is payable on a company that you own, work for or control.

4. Payment

We pay the fee within 30 days after we receive our own fee for the licence, in Singapore dollars, by bank transfer to an account in your name. No fee is owed on money we have not received. You are responsible for your own taxes.

5. Conduct

You will not promise any company a sale, a price or a timeline, or tell anyone how much they will earn. You will not receive, hold or forward any company’s records. You will follow the anti-spam and marketing laws that apply to your outreach, and you will not present yourself as our employee or agent.

6. Confidentiality

You keep our non-public information confidential, including the names of licensing partners, prices and deal terms.

7. Ending and changes

Either of us may end these terms by email with 30 days’ notice. Fees on referrals already confirmed continue to be paid for the rest of their credit window. We may update these terms by publishing a new version here; a change never reduces a fee on a referral we have already confirmed.

8. General

You act as an independent person, not as our employee, partner or agent. These terms are governed by the laws of Singapore.
